Forex License: Jurisdictions, Steps and the MetaTrader 5 Link
Which regulators actually issue a forex (FX) dealer licence, which popular offshore jurisdictions only register companies, and how your licence choice feeds into your MetaTrader 5 licence application.
How to get a forex license in 2026: which regulators issue FX dealer licences, which offshore jurisdictions only form companies, the steps, and the MT5 link.
What a forex licence is, and what it is not
A forex licence is a permission granted under a securities or investment-business law that lets a company deal in, or arrange, leveraged foreign-exchange and CFD trades for clients. It is issued by a named regulator, recorded in a public register, and carries ongoing capital, audit, reporting and client-money obligations.
The most common misunderstanding in this market is treating a company registration as a licence. Incorporating an International Business Company (IBC) in Saint Lucia or a Business Company in Saint Vincent and the Grenadines gives you a legal entity. It does not give you a forex licence, because neither jurisdiction issues one. Many guides still advertise a "Saint Lucia forex licence"; the regulators say otherwise, as quoted below.
Three terms are worth separating before you compare jurisdictions:
- Licence (or registration) as a dealer — the regulator authorises the activity itself. Examples: Seychelles Securities Dealer Licence, Mauritius Investment Dealer licence, Cayman SIBA licence, Bahamas registered firm, Belize registration to trade in securities.
- Company only — the registry forms the entity; no regulator authorises forex dealing. Examples: Saint Lucia IBC, SVG Business Company or LLC.
- MetaTrader 5 licence — a commercial software licence from MetaQuotes Ltd. It is not a financial licence. MetaQuotes checks your company and its activities before it sells you the platform, which is why the first two choices matter for the third.
FXSUPPORT covers all three layers: licensing and corporate coordination, MetaTrader 5 licence onboarding and MT5 platform support. Confirm any route with local counsel; this is not legal advice.
Which jurisdictions issue a forex licence?
Among the offshore and mid-shore centres brokers usually shortlist, the ones with a statutory licence or registration for dealing in FX/CFDs are Seychelles, Mauritius, Belize, the Cayman Islands and the Bahamas. Each sits under a named act and a public register you can check before and after you apply.
| Jurisdiction | Regulator | Licence type and law | Local substance (headline) | Indicative timeline |
|---|---|---|---|---|
| Seychelles | Financial Services Authority (FSA) | Securities Dealer Licence, Securities Act 2007 (amended by Act 18 of 2024, in force 1 January 2025) | Resident director, compliance officer, licensed representative and physical office in place before filing | FSA service standard of 30 working days from a complete application; real projects usually take longer once preparation is counted |
| Mauritius | Financial Services Commission (FSC) | Investment Dealer licence (Full service dealer, Broker, Discount broker or Derivatives), Securities Act 2005 and Securities (Licensing) Rules 2007, held by a Global Business Company | Managed and controlled from Mauritius, two resident directors, local bank account, management company | Not published; the FSC says it depends on completeness |
| Belize | Financial Services Commission (FSC) | Registration to trade in securities as principal or agent, Securities Industry Act 2021 and Regulations 2023 | CEO and compliance officer registered and resident in Belize; staffed premises; economic substance | Not published |
| Cayman Islands | Cayman Islands Monetary Authority (CIMA) | Securities Investment Business licence, broker-dealer category (SIBA) | At least two directors; fit-and-proper senior officers; insurance | Not published; CIMA typically notifies within seven days of a decision |
| Bahamas | Securities Commission of The Bahamas (SCB) | Registered firm, including registration to deal in CFDs, Securities Industry Act 2024 | Registered CEO running day-to-day operations in the jurisdiction; registered compliance officer | Not published |
| Mwali / Anjouan (Comoros) | MISA / AOFA (island authorities) | Marketed as "brokerage" or FX licences | Minimal | Agents quote days to weeks (unverified); see the Central Bank of the Comoros position below |
We deliberately leave capital amounts and fees out of this table. They change with each amendment, and the real budget depends more on the people and office you must fund than on fee schedules. For onshore regimes, see our overviews of CySEC, the FCA and ASIC.
Licence jurisdictions vs company-only jurisdictions
Saint Lucia, Saint Vincent and the Grenadines, Dominica and Antigua and Barbuda do not issue forex licences. They are useful for forming the company, but the authorisation to deal with clients has to come from somewhere else.
"Saint Lucia does not currently regulate or licence Forex Trading or Binary Options business."— Saint Lucia Registry of International Business Companies, FAQ (accessed October 2026)
"[The Authority] does NOT issue licences for Forex trading or brokerage activities in this jurisdiction."— Financial Services Authority of St. Vincent and the Grenadines, warning notice, 2 February 2026 (accessed October 2026)
| Jurisdiction | What it offers | Official position on forex | Practical consequence |
|---|---|---|---|
| Saint Lucia | IBC under the IBC Act Cap. 12.14, formed through a licensed registered agent | The FSRA states forex business is not licensed in Saint Lucia; the Registry FAQ says the same | Good operating entity; do not describe it as regulated; FX licence, if needed, comes from another jurisdiction |
| Saint Vincent and the Grenadines | Business Company or LLC | Since the FSA memo of 6 January 2023, forex companies must show a licence or approval from where they will operate when they incorporate | Get the foreign licence (or a competent-authority letter) first, then incorporate |
| Dominica | IBC and offshore banking regimes | The FSU's remit excludes securities business | No forex licence route through the FSU |
| Antigua and Barbuda | IBC under the IBC Act Cap. 222 | FSRC notice of 30 January 2026: CFD trading is not a regulated activity there and incorporation is not authorisation | Company with CFD purpose allowed, but no claim of regulation |
Why Saint Lucia is still a common first step
For many brokers we work with, a Saint Lucia IBC is the starting entity: a licensed agent we work with estimates incorporation at about three to five business days after due diligence, with add-ons such as a legal opinion, incumbency certificate or bank-account assistance generally ready in about a week. IBCs incorporated since 2019 must meet substance requirements and, since 1 July 2021, all Saint Lucia IBCs are subject to income tax. In our experience MetaQuotes has accepted Saint Lucia IBCs with a properly drafted activity clause and legal opinion, but that is our experience, not published MetaQuotes policy. Read more on our Saint Lucia IBC page and the wider IBC company formation guide.
What a Saint Lucia IBC does not do is license you to take retail forex clients; for that, add a licensed entity from the table above.
Jurisdiction notes: what each regulator actually requires
Seychelles and Mauritius are the usual offshore licences for retail FX/CFD brokers; Belize and the Bahamas need real local management; Cayman suits institutional models; Comoros island licences carry a recognition risk.
Seychelles FSA — Securities Dealer Licence
CFDs are "securities" under the Securities Act 2007, and the conduct-of-business regulations amended in 2024 cover rolling spot forex and leveraged CFDs. The FSA's application guidelines are explicit:
"To be able to engage in Securities Dealer business in Seychelles, a licence from the Authority is obligatory."— FSA Seychelles, Securities Dealer Application Guidelines (accessed October 2026)
Since 17 May 2023 the FSA only accepts complete applications, which means the company, office, resident director, compliance officer and representative must exist before you file. Since 2025 licensees must show a prescribed risk warning on every webpage and get trade names and domains approved. An FSA circular of 14 August 2026 reminded the market that a Seychelles IBC cannot carry on securities business unless licensed.
Mauritius FSC — Investment Dealer licence
The licence is held by a Global Business Company that must be managed and controlled from Mauritius, administered by a management company, and have at least two resident directors, a local bank account and locally audited accounts. The FSC's checklist asks for platform details, liquidity-provider agreements and order-flow charts. If an applicant does not reply to the FSC's first query within 15 working days, the application lapses.
Belize FSC — Securities Industry Act 2021
The current route is registration with the FSC under the Securities Industry Act 2021 (core parts in force 15 December 2023), via LicenSys. The CEO and compliance officer must be registered with the FSC and resident in Belize, and regulatory capital must be deposited in Belize before the grant.
Cayman CIMA — SIBA licence
"…persons engaging, 'in the course of business', in securities investment business, as defined in the SIBA, must be licenced unless exempted pursuant to Schedule 3 - Excluded Activities or Schedule 4 - Registered Persons."— Cayman Islands Monetary Authority (accessed October 2026)
An FX/CFD broker falls in the broker-dealer category. Registered persons cannot serve retail clients, so a retail model needs a full licence. CIMA has been a full IOSCO member since 2009.
Mwali (MISA) and Anjouan (AOFA)
Both island authorities market brokerage or FX licences, and AOFA's 2026–2027 licence conditions bar licensees from knowingly targeting residents of Australia, the Comoros, France, the Netherlands, Spain, the UK, the US and sanctioned countries. The Central Bank of the Comoros (BCC) takes a different view. In a communiqué dated 8 December 2025 it named MISA and AOFA among structures it says are not recognised in the Union of the Comoros and hold no legal authority to issue financial licences, and stated that forex, often presented as a "Brokerage License", is not an authorised activity and that no such licence has been issued. Anyone considering this route should weigh banking, payment-provider and vendor acceptance and take legal advice.
How to get a forex licence: step by step
Choose the jurisdiction that matches your clients, build the required substance before filing, submit a complete application, answer queries quickly and meet the post-grant conditions. This is the order we follow with brokers.
- Define the business model. Retail or professional clients, A-book or hybrid execution, target countries, products (FX, CFDs on indices, metals, crypto CFDs) and expected volume. See how to start a forex brokerage.
- Map target markets to permissions. A licence authorises you where it is issued; it does not let you solicit clients in countries that require their own licence. SVG's FSA puts it bluntly: firms must get authority "from the jurisdiction where their clients are located".
- Choose the licence jurisdiction and the entity plan. Decide whether the licensed company is formed in the licensing jurisdiction (Seychelles, Mauritius, Belize) or whether you also need a separate operating or technology entity, for example a Saint Lucia IBC.
- Build substance first. Resident directors, compliance officer, MLRO, office lease and bank account. Seychelles will not accept an application without them.
- Prepare the application pack. Business plan with projections, compliance, AML/CFT and complaints manuals, client agreement, continuity plan, personal questionnaires and source-of-funds evidence.
- Document the technology stack. Regulators ask which trading platform, liquidity providers, bridge and CRM you will use. We draft this from the real architecture: bridge, liquidity, CRM.
- File and respond. Answer each query fully and on time.
- Meet the conditions of grant. Capital deposit, insurance, auditor appointment, FIU registration, approved trade names and website wording.
- Apply for the MetaTrader 5 licence in parallel or right after, using the same corporate documents. See the section on the MT5 link below.
- Go live with monitoring, risk reports and a compliance calendar.

There is no honest single answer to "cheapest forex licence", because the regulator's fee is usually the smallest line. The total is driven by the local people and office you must fund, the capital you must lock up, and how long the process runs. A company-only jurisdiction is cheaper because it is not a licence at all.
| Cost driver | Company only (St Lucia, SVG) | Offshore licence (Seychelles, Mauritius, Belize) | Higher-tier (Cayman, Bahamas, onshore) |
|---|---|---|---|
| Regulator application and annual fees | Registry fees only | Moderate, published by each regulator | Higher, plus monthly or quarterly returns |
| Regulatory capital | None as regulatory capital | Required, held locally or in an approved bank | Higher and computed continuously |
| Resident staff and directors | Not required for forex | Resident director(s), compliance officer, sometimes representatives | Local CEO or senior management |
| Office and substance | Economic-substance rules may apply | Physical office meeting regulator criteria | Full operating presence |
| Audit, insurance, legal | Light | Annual audit, PI insurance, legal opinions | Audit, internal-controls opinion, broader insurance |
| Banking and PSP access | Hardest; many providers want a licence | Better | Best |
The cheapest licence you can actually bank and keep is usually the one whose substance you can meet without a second team. Ask us for a costed plan.
Also note: "ready-made" licensed companies still need regulator approval for the change of control (Seychelles and Cayman both require prior approval for share transfers), and a route a central bank publicly disputes can become expensive if banks or vendors refuse it.
How your forex licence connects to the MetaTrader 5 licence
MetaQuotes sells the platform, not permission to trade, but it checks the company before it sells. Your licence or company documents become the core of the MetaTrader 5 application, so the two projects should be planned together.
"…a registered company, with the relevant business activities registered under that entity."— MetaQuotes, How to start a brokerage business (accessed October 2026)
MetaQuotes now sells MetaTrader 5 only; its MetaTrader 4 page states that MT4 licences are "no longer available for purchase". MT5 comes in three tiers: Entry (1,000 real accounts), Standard (25,000) and Enterprise (200,000). In our experience the first payment covers three months of licence fees, and MetaQuotes asks for a document pack along these lines:
- Certificate of Incorporation
- Certificate of Good Standing or Incumbency (if the company is older than six months)
- Register of Directors
- Register of Shareholders, showing UBOs (with nominee support documents if nominees are used)
- Proof of registered address
- Proof of physical address (utility bill, corporate document or certified confirmation letter)
- Domain ownership and a compliant website: company name, registered and physical address, email or form and phone, risk warning, jurisdiction disclaimer
- Confirmation of activities: the Memorandum, or a legal opinion or representation letter
- Corporate bank reference letter addressed to MetaQuotes, or a certified bank statement
- SumSub identity verification for the signatory and UBOs
A forex licence strengthens items 7 and 8. With a company-only entity, the activity clause and legal opinion carry more weight, so draft the Memorandum to cover trading of financial instruments, online forex, brokerage and financial services. Details are on our MetaQuotes licence documents page.

MT5 licence -> server setup -> go-live + monitoring
After approval come servers, data feed, gateways, groups, symbols and monitoring: see MT5 server setup after licence approval.
After the licence: obligations and the technical side
A licence brings recurring obligations: annual fees, audited accounts, AML reports, approvals for changes of control and client-money reconciliations, most of which depend on data from your trading platform.
Examples: Seychelles wants the annual fee and compliance certificate by 31 January and an IFRS audit within four months of year-end; Belize wants audited statements within 120 days and quarterly interim statements; Cayman broker-dealers file monthly financial returns.
This is where FXSUPPORT's day-to-day work fits: risk operations such as end-of-day reports and toxic-flow lists, MT5 administration, backups and log monitoring, and server hosting in the UK and the Netherlands with a 99.9% uptime target.
