Saint Lucia IBC for forex brokers: company formation for your MT5 licence
A St Lucia International Business Company is a fast, foreign-owned company that many brokers use to contract their own MetaTrader 5 licence. It is not a forex licence. This guide covers formation, documents, the MetaQuotes pack, banking and the limits you must respect.
Saint Lucia IBC formation for forex brokers: what an IBC is, steps, documents, MetaQuotes MT5 pack, banking, and why St Lucia issues no forex licence.
What is a St Lucia IBC?
A Saint Lucia International Business Company (IBC) is a company incorporated under the International Business Companies Act, Cap. 12.14, and entered on the Registry of International Business Companies. The Registry operates under the brand Pinnacle St. Lucia, the business name of the International Financial and World Investment Centre (IFWIC), which the Registry describes as a 100% government-owned company.
For a broker, the IBC gives you a legal entity with a certificate of incorporation, statutory registers and a registered address, which vendors, banks and payment providers ask for before they contract with you. It is quick to form, can be wholly foreign-owned and, as the Registry notes, "there is no requirement for local directors". Where a point below comes from our experience rather than a published rule, we say so.
| Feature | What applies | Why it matters for a broker |
|---|---|---|
| Legal basis | International Business Companies Act, Cap. 12.14, amended by Act No. 2 of 2022 and the IBC (Amendment) Regulations, SI No. 147 of 2024 | Your legal opinion refers to this Act |
| Who can incorporate | Only a registered agent licensed under the Registered Agent and Trustee Licensing Act (RATLA), Cap. 12.12 | You always work through a licensed local agent |
| Company name | Must end with "International Business Company" or "IBC" | Website, MetaQuotes contract and bank file show the full name |
| Registered agent and office | Required in Saint Lucia at all times | This becomes your "registered address" in the MetaQuotes pack |
| Directors and shareholders | Minimum one director under the model articles; no local director; foreign ownership permitted | One founder can be director and shareholder |
| Public information | Only the Memorandum and Articles, the registered agent and the registered office are public | Registers are kept with the agent |
| Tax | Since 1 July 2021 all IBCs are subject to income tax and file annual returns with the Inland Revenue Department | Bookkeeping and a tax return from year one |
| Substance | For IBCs incorporated from 1 January 2019, the Act refers to adequate employees, operating expenses and capital, plus a statutory declaration on AML, anti-terrorism and income tax laws | The agent asks how the company is run |
| Moving in or out | Continuation into Saint Lucia and migration out are both permitted by the IBC Act | You can redomicile later |
Saint Lucia does not issue forex licences
There is no Saint Lucia forex licence, brokerage licence or "FSRA forex licence". Both the IBC Registry and the Financial Services Regulatory Authority (FSRA) say so in writing, and any provider selling a "St Lucia forex licence" is describing a company registration, not a regulatory authorisation.
Saint Lucia acknowledges that several international business companies are utilized for CFD/ FOREX (FX) trading. Saint Lucia does not currently regulate or licence Forex Trading or Binary Options business.— Registry of International Business Companies (Pinnacle St. Lucia), FAQ (accessed October 2026)
Further, please be advised that forex business is not licensed in Saint Lucia. Therefore, documents provided by a forex business company which indicate that it is registered, licensed or in any way affiliated with the Authority are false and misleading.— Financial Services Regulatory Authority, Warning Notice (accessed October 2026)
The FSRA (FSRA Act No. 13 of 2011) administers statutes on insurance, international banks, international mutual funds, co-operatives, registered agents and trustees, and money services businesses. Forex and CFD brokerage is not on that list.
What this means for where you may onboard clients
The IBC gives you no permission to market to or onboard clients anywhere; what matters is the law of the country where each client lives. In practice brokers using an IBC follow three rules:
- Never claim regulation. No "regulated in Saint Lucia", "FSRA licensed" or regulator logos; the FSRA calls such claims false and misleading.
- Exclude countries that require a local licence. Markets such as the UK, EU member states, the US and Australia generally require local authorisation to offer leveraged FX and CFDs to residents. See our overviews of FCA, CySEC and ASIC regulation. Build this into onboarding: country blocks in the CRM, KYC checks and a jurisdiction disclaimer on the website.
- Get advice per target market. Rules for foreign brokers differ by country; a local lawyer's view is the only reliable answer.
If your plan depends on serving clients in regulated markets, or on payment providers that require a licence number, you need a forex licence from another jurisdiction. Our offshore regulation overview compares the options; a St Lucia IBC can still sit in the group as a technology or holding company.
| The IBC gives you | The IBC does not give you |
|---|---|
| A legal entity that can sign a MetaQuotes MT5 licence contract (in our experience) | A forex, CFD or brokerage licence |
| Certificate of incorporation, registers, registered address | Permission to onboard clients in countries that require local authorisation |
| A base for corporate bank and payment provider applications | Automatic bank or PSP acceptance |
| Fast formation with foreign ownership | Investor-compensation or regulatory status your clients can rely on |
Why brokers use a St Lucia IBC for an MT5 licence
Brokers use a Saint Lucia IBC because MetaQuotes contracts with a company, not with an individual, and asks for a company whose activities cover trading of financial instruments or brokerage. A St Lucia IBC can be formed quickly with those objects and supported by the documents MetaQuotes reviews. In our experience MetaQuotes has accepted Saint Lucia IBCs as licence holders; it does not publish a list of accepted jurisdictions, so treat this as experience, not policy.
Two MetaQuotes facts shape the plan. First, only MetaTrader 5 can be licensed today:
The MetaTrader 4 trading platform licenses are no longer available for purchase.— MetaQuotes, MetaTrader 4 for brokers (accessed October 2026)
Offers of a "St Lucia company with an MT4 licence" are transfers of existing licences, with their own due diligence questions. Second, with your own licence you run the platform yourself:
You independently deploy our software on your own hardware, as well as maintain your server infrastructure and fully control support and administration.— MetaQuotes, Buy MetaTrader 5 (accessed October 2026)
That is where founders need technical help: the licence arrives as software and keys, and someone has to build, secure and run the servers. MetaQuotes lists three tiers: Entry (1,000 real accounts), Standard (25,000) and Enterprise (200,000); in our experience the first payment covers three months of licence fees. See our MetaTrader 5 licence onboarding guide, or compare a grey or white label if you do not need your own server yet.
How to form a Saint Lucia IBC: step by step
Formation runs through a RATLA-licensed registered agent and has six practical stages. In our experience incorporation itself takes about 3–5 business days once due diligence is complete; the timeline below is indicative and depends mostly on how quickly your documents come back.
- Scope review. Confirm your model (A-book, B-book, hybrid, prop firm), target client countries and whether you need a licence elsewhere.
- Name and objects. Choose a name ending in "IBC" or "International Business Company" and draft objects that cover trading of financial instruments, online forex and brokerage or financial services, as MetaQuotes expects.
- Due diligence with the agent. Directors, shareholders and beneficial owners provide KYC documents. The agent also takes the statutory declaration required for IBCs formed since 2019.
- Filing and incorporation. The agent files the Memorandum and Articles with the Registry and receives the certificate of incorporation.
- Corporate pack and add-ons. Registers, certified copies, legal opinion, physical address confirmation and bank introduction letters; in our experience about one more week.
- Tax registration and banking. Register with the Inland Revenue Department, then apply for corporate banking and payment providers with the full pack.
| Stage | Indicative duration | Main dependency |
|---|---|---|
| Scope review and name check | 1–2 business days | Clear business plan and target countries |
| Agent due diligence | Depends on KYC quality | Certified, complete documents from every owner and director |
| Incorporation | About 3–5 business days after due diligence | Registry processing |
| Legal opinion, incumbency, physical address, bank letters | About 1 week | Local counsel and agent workload |
| Bank reference and compliant website | Varies widely | Bank onboarding; website content |
| MetaQuotes review and SumSub verification | Set by MetaQuotes | Completeness of the 10-document pack |
| MT5 server deployment | After licence keys are issued | Hosting, liquidity and CRM choices |
Documents you need for a St Lucia IBC
The agent needs standard KYC for every director, shareholder and beneficial owner, plus a short business description. Lists vary by agent; these are the most common items.
From each individual
Certified passport copy, recent proof of residential address, CV or professional background, and a source-of-funds or source-of-wealth explanation. A bank reference may be requested.
From corporate shareholders
Incorporation documents, registers, good standing and an ownership chart down to the natural persons.
About the business
Activities, target client countries, expected flows and management. State that a forex licence will be obtained wherever required.
What you receive
Certificate of incorporation, Memorandum and Articles, registers of directors and shareholders, share certificates and certified copies, plus any add-ons you ordered.
The MetaQuotes document pack for a St Lucia IBC
In our experience MetaQuotes asks for ten items before it issues an MT5 licence. Most come from the Saint Lucia agent; the website, bank letter and identity checks come from you. Our MetaQuotes licence documents guide goes through each one in detail.
| # | Document MetaQuotes asks for | Source for a St Lucia IBC |
|---|---|---|
| 1 | Certificate of Incorporation | Registry, via the registered agent |
| 2 | Certificate of Good Standing or Incumbency (if the company is older than 6 months) | Registered agent |
| 3 | Register of Directors | Registered agent |
| 4 | Register of Shareholders, showing UBOs (with nominee support documents if nominees are used) | Registered agent |
| 5 | Proof of registered address | Registered agent's confirmation of registered office |
| 6 | Proof of physical address (utility bill, corporate document or certified confirmation letter) | Your operating office, or a physical address service |
| 7 | Domain ownership and a compliant website | You: domain registrar record plus website content |
| 8 | Confirmation of activities (Memorandum, or legal opinion / representation letter) | Memorandum objects; legal opinion from Saint Lucia counsel recommended |
| 9 | Corporate bank reference letter addressed to MetaQuotes (or certified bank statement) | Your corporate bank |
| 10 | SumSub verification for the signatory and UBOs | Each person completes it online |
Website items reviewers look for
The website is the item founders underestimate. In our experience it must show the full company name, registered address and physical address, a contact email or form and a phone number, a risk warning, and a jurisdiction disclaimer listing countries where services are not offered. For a Saint Lucia IBC, the disclaimer should also state plainly that the company is not licensed or regulated by any authority in Saint Lucia.

Request a free technical review WhatsApp TelegramBanking and payments for a St Lucia IBC
Banking is usually the slowest part of the project. Banks and payment service providers (PSPs) review the owners, business model, target countries and the absence of a forex licence; many decline unlicensed brokers.
- Prepare the file once. Use the same corporate pack, business plan, website and country list for every bank and PSP application. Inconsistencies between applications are a common reason for rejection.
- Ask for the MetaQuotes letter early. The bank reference addressed to MetaQuotes is part of the licence pack, so the corporate account should be open before you submit.
- Expect PSP questions about licensing. Some PSPs require a licence from a recognised regulator; others accept an IBC with a legal opinion and an agent's introduction letter.
We coordinate the technical side: payment gateway integration with your CRM, and the cashier flows on the client portal.
Ongoing compliance for a Saint Lucia IBC
A St Lucia IBC has a small but fixed annual calendar. Missing it can lead to penalties and, in the end, strike-off, which would also break your MetaQuotes good-standing document.
| Obligation | Deadline | Notes |
|---|---|---|
| Annual Registry fee | By 15 January | Penalty applies from 15 February |
| Shareholder and beneficial owner return to the registered agent | By 15 February | The agent reports non-filers by 31 March; strike-off is possible |
| Annual income tax return | Yearly, with the Inland Revenue Department | All IBCs taxable since 1 July 2021 |
| Registered agent and office | At all times | Changing agent requires a formal transfer |
| Economic substance | Ongoing | Adequate employees, expenses and capital for IBCs formed since 2019 |
| MetaQuotes licence status | Ongoing | Keep good standing, website and ownership data current; report changes |
Confirm tax rates and substance tests with a Saint Lucia accountant; we do not give tax advice.
St Lucia IBC vs other broker jurisdictions
Saint Lucia is a company jurisdiction; Seychelles, Belize and Cayman issue licences that can cover leveraged FX and CFDs; St Vincent and the Grenadines requires forex companies to show a licence from elsewhere before incorporation. Choose by what your clients, banks and PSPs require, not by speed alone.
| Jurisdiction | Forex licence issued locally? | Practical position for brokers |
|---|---|---|
| Saint Lucia (IBC) | No | Fast company formation; used as the MT5 contracting company; no regulatory status |
| St Vincent and the Grenadines (BC/LLC) | No | FSA requires forex companies to provide licences or approval from where they operate when applying to incorporate |
| Seychelles | Yes, Securities Dealer licence (FSA) | Resident directors, local office and staff; FSA reminds that IBCs may not carry on securities business unless licensed |
| Belize | Yes, registration under the Securities Industry Act 2021 (FSC) | Resident CEO and compliance officer, local premises, capital held in Belize |
| Cayman Islands | Yes, SIBA licence (CIMA) | Higher cost and substance; broker-dealer category; IOSCO MMoU signatory |
The Saint Vincent FSA put the principle plainly in October 2025: forex companies registered there "MUST obtain the necessary authority or license from the jurisdiction where their clients are located." The same logic applies to a Saint Lucia IBC. See our IBC company formation guide for other company jurisdictions and our forex licence guide for licensed routes.
