IBC Company Formation for Forex Brokers and MT5 Licences

Which offshore company to form for a MetaTrader 5 licence, what each jurisdiction really offers (company only or a forex licence too), and how FXSUPPORT coordinates incorporation, documents, banking and the MetaQuotes application.

IBC company formation for forex brokers: which jurisdictions give only a company, which offer a forex licence, and how to get a MetaQuotes-ready MT5 file.

Short answer: IBC company formation for a forex broker means incorporating an international business company whose objects cover trading in financial instruments, then using it to apply for a MetaTrader 5 licence. St Lucia, SVG and Dominica give you only a company; Seychelles, Mauritius, Belize and the Bahamas can also license forex or CFD dealing.

What an IBC is, and why MT5 brokers start with one

An international business company (IBC) is a company incorporated under an offshore jurisdiction's IBC or business companies law through a licensed registered agent, usually with light disclosure and no local director. For a brokerage it signs the MetaQuotes agreement, holds bank and payment accounts and contracts with liquidity providers.

MetaQuotes names no required jurisdiction in its public material; it asks for a real company whose registered activities match the business:

"To start with, you need to have a registered company, with the relevant business activities registered under that entity."— MetaQuotes, How to start a brokerage business (accessed October 2026)

The same guide then asks for "a corporate bank account from a licensed bank". MT4 is not an option for new brokers: MetaQuotes states that MetaTrader 4 licences "are no longer available for purchase", so new companies apply for MT5 (Entry 1,000, Standard 25,000 or Enterprise 200,000 real accounts).

The most common mistake is to treat the IBC as a licence. It is not. Incorporation gives you a legal person; whether it may deal with clients in forex or CFDs depends on its jurisdiction and, above all, on where its clients live.

Company only vs forex licence: the distinction that decides your jurisdiction

Jurisdictions fall into two groups: those that incorporate a company but do not license forex at all, and those where you can also apply for a securities dealer or investment dealer licence. Knowing which group you are in prevents the most expensive errors in a broker launch.

Company-only jurisdictions (St Lucia, St Vincent and the Grenadines, Dominica, Antigua and Barbuda) register IBCs or business companies quickly, but their regulators say publicly that they do not license forex. Saint Lucia's registry states:

"Saint Lucia does not currently regulate or licence Forex Trading or Binary Options business."— Registry of International Business Companies, Saint Lucia, FAQ (accessed October 2026)

SVG's Financial Services Authority goes further. In a February 2026 warning it said it "does NOT issue licences for Forex trading or brokerage activities in this jurisdiction" and that any SVG company doing this business "MUST obtain the appropriate licence or authorisation from the jurisdiction(s) in which its clients are located."

Licensing jurisdictions (Seychelles, Mauritius, Belize, the Bahamas and, at the top end, the Cayman Islands) have a statute, a regulator and a public register for dealers in securities, CFDs or rolling spot forex. They require local substance, fit-and-proper people and regulatory capital, and take months rather than days.

Many brokers use both: a fast company-only IBC to start the MT5 onboarding and the technology build, and a licensed entity in a second jurisdiction for client-facing business. See our forex licence guide and offshore regulation overview.

Jurisdictions brokers use for an MT5 licence company

The table below compares the jurisdictions brokers most often ask us about, using each regulator's own published position. It shows what you get, not what it costs.

Saint Lucia IBC: the fastest clean company for MetaQuotes

Saint Lucia is the jurisdiction we use most for the company side of an MT5 licence: incorporation is quick and the corporate documents fit what MetaQuotes asks for. Saint Lucia does not issue forex licences, and we say so before we start.

The key points of the IBC Act (Cap. 12.14) for brokers:

  • Only a licensed registered agent can incorporate the company, and the IBC must keep a registered agent and registered office in Saint Lucia at all times.
  • The name ends in "International Business Company" or "IBC". One director is enough under the model articles, and no local director is required.
  • IBCs incorporated from 1 January 2019 must meet substance tests (adequate employees, expenses and investment) and file a statutory declaration on AML, anti-terrorism and income tax law.
  • According to the registry, "Effective July 1, 2021 all IBCs became subject to income tax and must file annual tax returns with the Inland Revenue Department." There is also an annual fee and a beneficial-ownership return through the agent each year.

In our experience, the registered agent incorporates the company in about 3–5 business days once due diligence is complete. Add-ons (legal opinion, incumbency, physical address, nominee services, bank assistance, PSP letter) usually take about another week. These are agent estimates, not statutory deadlines.

We have seen MetaQuotes accept Saint Lucia IBCs in our own client files. This is our experience, not published MetaQuotes policy. Full walkthrough: Saint Lucia IBC page.

SVG, Dominica and Antigua: incorporation is not authorisation

These three still appear in "cheap forex licence" offers, but none of their regulators licenses forex brokerage.

St Vincent and the Grenadines. On 6 January 2023 the FSA told registered agents that companies wishing to do forex business must provide a certified copy of a licence or approval from where they will operate when they apply to incorporate, or the application is rejected. Its follow-up FAQ adds that the FSA will not accept legal opinions from lawyers as a substitute. SVG therefore works as a second entity behind an existing licence, not as a starting point.

Dominica. The Financial Services Unit does not supervise securities business, so a Dominica IBC is a company only. "Sub-licences" under offshore banks are marketed, but we have found no regulator source for them.

Antigua and Barbuda. The FSRC's public notice of 30 January 2026 is unusually direct:

"Contracts for Difference trading is not an activity regulated, licensed, supervised, or authorised by the Commission… Entities may be incorporated under the International Business Corporations Act with Contracts for Difference trading included within their corporate purpose. However, such incorporation does not constitute regulation, licensing, authorisation, supervision or approval…"— Financial Services Regulatory Commission, Antigua and Barbuda (accessed October 2026)

That applies to every company-only jurisdiction: the IBC can contract with MetaQuotes, liquidity and technology providers, but client-facing business still needs authorisation where clients are, decided with legal advice.

Seychelles, Mauritius, Belize and the Bahamas: where an FX licence is available

When clients, banks or PSPs need a regulated entity, brokers look at these four. Each needs real local presence, and each licence can be checked on a public register.

Seychelles (FSA)

Securities Dealer licence under the Securities Act 2007, amended with effect from 1 January 2025. Needs two directors (one resident), an office, a compliance officer and a licensed representative before filing. Circular 5/2026: an IBC may not carry on securities business unless licensed. Service standard: 30 working days from a complete application.

Mauritius (FSC)

Investment Dealer licence (full service, broker, discount broker or derivatives) held by a company with a Global Business Licence. The company must be managed and controlled from Mauritius through a management company, with resident directors and a local principal bank account.

Belize (FSC)

Registration to trade in securities as principal or agent under the Securities Industry Act 2021 and the 2023 Regulations. The CEO and compliance officer must be resident in Belize, with real premises and capital deposited locally before the grant.

The Bahamas (SCB)

Registered firm under the Securities Industry Act 2024. A Companies Act or IBC Act company can register, with a registered CEO running operations in the jurisdiction, a compliance officer, insurance and capital.

The Cayman Islands (CIMA, SIBA broker-dealer) sits a tier above these in cost and scrutiny and is rarely the first entity for a start-up. Licence conditions such as negative balance protection (Seychelles) and client money segregation must be built into the MT5 configuration; FXSUPPORT does that from day one.

Comoros (Mwali and Anjouan): read the Central Bank's position first

Mwali (MISA) and Anjouan (AOFA) register IBCs within days and advertise brokerage licences, but the Central Bank of the Comoros publicly disputes their authority.

MISA says it offers "specialized licenses for activities like foreign exchange trading". AOFA describes itself as "Issuing Licenses for Banking, Gaming, Brokerage/FX, Crypto, and Insurance on behalf of the Anjouan Government". The Central Bank's communiqué of 8 December 2025 names MISA and AOFA and states that these structures "are not recognised in the Union of the Comoros and hold no legal authorisation allowing them to issue approvals or licences for financial or banking activities". It also lists "Forex or the unregulated currency market (often presented as a 'Brokerage License')" among activities for which no licence has been issued.

We set out both positions neutrally; the client decides. The practical test is whether your bank, PSPs, liquidity providers and ad platforms accept the entity. MetaQuotes' approach to Comoros entities is not published.

Which jurisdiction for an MT5 licence company? A decision path

Choose the company from your client markets and banking needs, not from the incorporation price.

  1. List your target countries. Where clients live decides whether you need a licence and which one. Offshore licences often exclude certain countries; AOFA's 2026–2027 conditions, for example, exclude the US, UK, Australia, France, the Netherlands, Spain and the Comoros.
  2. Decide company-only or licensed. If your banks and PSPs need a regulated counterparty, start the Seychelles, Mauritius, Belize or Bahamas track now. If you are building technology first, a Saint Lucia IBC can carry the MetaQuotes application while the licence is processed.
  3. Write the activity clause correctly. MetaQuotes looks for objects covering trading of financial instruments, online forex or brokerage and financial services. A legal opinion confirming the activities is recommended.
  4. Plan substance and people. Licensed jurisdictions need resident directors, officers and offices. Even a Saint Lucia IBC formed after 2019 must meet substance tests.
  5. Open banking early. MetaQuotes expects a corporate bank account and, in our experience, a bank reference letter addressed to MetaQuotes. Bank onboarding is often the longest step.
  6. Check the platform model. If you do not need your own MT5 server licence, compare white and grey label options before forming the company.

The documents your IBC must produce for MetaQuotes

A newly formed IBC must produce about ten documents for an MT5 licence application, and most of them come from the registered agent and the bank. This is what MetaQuotes has asked for in our clients' applications, not a published checklist.

How FXSUPPORT coordinates IBC formation, banking and the MT5 licence

FXSUPPORT is a technical firm, not a registered agent or law firm. We coordinate licensed agents and lawyers in the chosen jurisdiction and run the MetaQuotes and platform side ourselves.

  1. Scoping call. Target markets, ownership, business model (A-book, B-book, hybrid, prop) and timeline.
  2. Agent and due diligence. We introduce a licensed registered agent, prepare the KYC pack for directors and UBOs, and check that the objects clause covers brokerage activity.
  3. Incorporation and add-ons. We order the MetaQuotes documents (legal opinion, incumbency, physical address) in the same batch.
  4. Bank and PSP. We coordinate corporate bank account applications, the bank reference letter and PSP onboarding, then integrate the chosen gateways (see payment gateway integration).
  5. Website compliance. We check company details, addresses, contacts, risk warning and jurisdiction disclaimer.
  6. MetaQuotes application. We assemble the pack, respond to compliance questions and guide the signatory through SumSub.
  7. Server setup and support. After approval we install and configure MT5, connect liquidity and data feeds and run ongoing MT5 support with a 99.9% uptime target. See MT5 server setup after licence.

Banking and PSPs. Banks and payment providers review the jurisdiction, licence status, UBOs and target markets, often more strictly than the registry. MetaQuotes' own guide recommends opening the bank account early "to avoid any possible delays", so we start bank applications during formation and keep the objects clause, website and business plan consistent. Card acquirers and many EMIs ask for a regulator licence, so a company-only IBC usually works with a narrower set of PSPs. Never describe a company-only IBC as "regulated".

If the plan includes a licence in Seychelles, Mauritius, Belize or the Bahamas, we run that application track in parallel with licensed local firms. Our wider corporate work (annual filings, registers, banking coordination) is described on licensing and corporate services, and the full launch sequence on how to start a forex brokerage.

Ongoing obligations after incorporation

An IBC needs yearly maintenance, and missing a filing can lead to penalties or strike-off.

  • Saint Lucia: annual fee by 15 January (penalty from 15 February); shareholder and beneficial-owner return to the agent by 15 February; annual tax return; substance for post-2019 IBCs.
  • Seychelles: annual licence fee and compliance certificate by 31 January; IFRS audit within four months of year-end; AML compliance report.
  • Mauritius: annual FSC and GBC fees, audit by an approved auditor, capital maintained, director changes notified within seven days.

MetaQuotes may later ask for a fresh good standing or incumbency certificate, so keep registers current.

Frequently asked questions

What is the best jurisdiction for an IBC for a forex broker?
There is no single best one. For a fast company to hold the MT5 licence, Saint Lucia works well in our experience; for a forex or CFD licence, look at Seychelles, Mauritius, Belize or the Bahamas. Target markets and banking decide.
Does a Saint Lucia IBC come with a forex licence?
No. Saint Lucia's registry and the FSRA both state that forex business is not licensed there. A Saint Lucia IBC is a company only; any licence must come from another jurisdiction.
Can I get a MetaTrader 5 licence with an offshore IBC?
MetaQuotes asks for a registered company with relevant activities and a corporate bank account, and publishes no list of accepted jurisdictions. We have seen IBCs, including Saint Lucia IBCs, approved when the pack, website and activity clause were in order; each application is reviewed individually.
Can I still get an MT4 licence for a new IBC?
No. MetaQuotes states that MetaTrader 4 licences are no longer available for purchase. New companies apply for MetaTrader 5, with Entry (1,000), Standard (25,000) or Enterprise (200,000) real-account tiers.
How long does IBC formation take for an MT5 broker?
In our experience, a Saint Lucia IBC is incorporated about 3–5 business days after due diligence, with add-ons taking about another week. Licensed jurisdictions take months. All timelines are indicative.
Can I still use an SVG company for a forex brokerage?
Only with a licence or approval from where you operate. Since January 2023 the SVG FSA has required a certified copy at incorporation and does not accept lawyers' legal opinions instead. It issues no forex licences itself.
Is a Mwali or Anjouan licence recognised?
The island bodies (MISA and AOFA) say they can issue brokerage licences. The Central Bank of the Comoros said in December 2025 that these structures are not recognised and that forex "Brokerage Licenses" are not authorised in the Comoros. We explain both positions and the banking consequences before any decision.
What should the IBC's business activity say?
MetaQuotes looks for activities covering trading of financial instruments, online forex or brokerage and financial services. Put this in the memorandum and, ideally, back it with a legal opinion or representation letter confirming the activities.
Is an IBC the same as a forex licence?
No. Regulators in Antigua and Seychelles have said in writing that incorporation is not a licence, and Saint Lucia and SVG say they do not license forex at all. An IBC is a legal entity. A licence is a separate authorisation from a regulator, and what you need depends on where your clients are. This is general information, not legal advice.
Does FXSUPPORT incorporate the company itself?
No. Licensed registered agents incorporate the company. FXSUPPORT coordinates the agent, prepares the KYC and MetaQuotes packs, coordinates banking and PSPs, and runs the MT5 application and server setup.
What does IBC formation cost?
We do not publish prices: the total depends on the jurisdiction, add-ons, banking and whether a licence is involved. Send us your plan for an itemised quote.
